Shares for Debt Transaction

Defiance Silver Corp. (the “Company”), announces that it has arranged to settle an aggregate of $281,294 of outstanding debt owing to certain directors, officers and consultants by paying $82,108 in cash and issuing an aggregate of 1,991,920 common shares at a deemed price of $0.10 per common share.

The common shares issued in connection with this debt settlement will be subject to a hold period of four months from issuance. The arrangement is subject to approval of the TSX Venture Exchange.
